EZbudget Terms of Service

These Terms of Service ("Terms") are an agreement between you and STEL Group LLC ("we," "us," "our"), located at 336 E University Pkwy #1113, Orem, UT 84058. They govern your use of EZbudget: the website, web app, and future mobile apps (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

Please read Section 13 carefully. It contains a binding arbitration agreement and class-action waiver.

1. What EZbudget is (and isn't)

EZbudget helps individuals track accounts, categorize spending, set budgets, and receive alerts about purchases. EZbudget:

  • is for personal, non-commercial use
  • is not a bank, and does not hold, move, or transmit your money
  • does not provide financial, investment, tax, legal, or credit advice

Information in the Service is for your general information only. Consult a qualified professional before making financial decisions.

2. Eligibility and accounts

  • You must be at least 18, a resident of the United States, and able to form a binding contract.
  • Provide accurate information and keep it current.
  • Keep your password and multi-factor authentication devices secure. You are responsible for activity under your account.
  • Notify us at support@setitsolutions.com right away if you suspect unauthorized access.
  • We may require multi-factor authentication before you connect financial accounts or take sensitive actions.

3. Connecting financial accounts

  • Your authorization. When you connect an account, you authorize us and our data-connection providers to access and retrieve information from your financial institutions on your behalf. These providers are Plaid Inc. and, where used, Stripe Financial Connections. You confirm that you are authorized to access each account you connect.
  • Plaid disclosure. EZbudget uses Plaid to gather your data from financial institutions. By using the Service, you grant EZbudget and Plaid the right, power, and authority to act on your behalf to access and transmit your personal and financial information from your financial institutions. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy (https://plaid.com/legal/#end-user-privacy-policy).
  • Stripe disclosure. Where Stripe Financial Connections is used, Stripe's end-user terms and privacy policy, presented when you connect, also apply.
  • Data accuracy. Data comes from your institutions and providers. It may be delayed, incomplete, or inaccurate. Pending transactions can change or disappear. We are not responsible for errors in third-party data.
  • Reconnection. Institutions sometimes require you to sign in again. Until you do, syncing and alerts for that connection may stop.

4. Purchase alerts and notifications

Alerts are a convenience. They are not a fraud-prevention or security guarantee. Alerts may be delayed, duplicated, or missed due to institution, provider, network, or email issues. Always review your statements and contact your institution about suspicious activity. Email preferences are described in our Communications and Email Consent Policy.

5. Subscriptions, trials, and billing

  • Plans. EZbudget offers a free plan and paid plans with the features and connection limits shown in the app before you subscribe. Limits may change with notice.
  • Free trials. Paid plans may include a free trial. Unless you cancel before the trial ends, your payment method will be charged the plan price at the end of the trial. We will remind you before a trial converts where required by law.
  • Auto-renewal. Paid plans renew automatically each month or year at the then-current price until you cancel. We charge your payment method through Stripe at the start of each billing period.
  • Cancellation. Cancel anytime online in Settings → Billing. Cancellation takes effect at the end of the current billing period. You keep paid features until then.
  • Refunds. Except where required by law, fees are non-refundable and partial periods are not prorated. [Counsel/Steve: confirm the refund policy.]
  • Price changes. We will give at least 30 days' notice of price changes, which apply at your next renewal.
  • Downgrades. If you move to a plan with fewer connections, you'll choose which connections to keep. Others will be disconnected.
  • Taxes. Prices exclude applicable taxes unless stated otherwise.

6. Acceptable use

You agree not to:

  • use the Service for unlawful purposes, or to access accounts you are not authorized to access
  • interfere with or disrupt the Service, or probe, scan, or test its vulnerabilities without written permission
  • reverse engineer the Service except as allowed by law
  • use bots or scrapers, or resell the Service
  • upload malware or infringing content

7. Your content and data

You own the information you add to or connect with EZbudget ("Your Data"). You give us a limited license to host, process, and display Your Data only to provide and improve the Service, as described in the Privacy Policy. You can export or delete Your Data at any time. See the Data Retention and Deletion Policy.

8. Our intellectual property

The Service, including its software, design, and the EZbudget name and logos, is owned by STEL Group LLC or its licensors. We grant you a personal, revocable, non-transferable, non-exclusive license to use the Service under these Terms. Feedback you send may be used without obligation to you.

9. Third-party services

The Service relies on third parties such as Plaid, Stripe, Google Firebase, and email and hosting providers. Their services are governed by their own terms. We are not responsible for third-party services or for the acts of financial institutions.

10. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give notice. Sections that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR TIMELINESS OF DATA OR ALERTS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STEL GROUP LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, FUNDS, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Disputes

  • Informal resolution first. Before filing any claim, you agree to contact us at support@setitsolutions.com and try to resolve the dispute informally for 30 days.
  • Binding arbitration. Any dispute arising from these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be seated in Utah; hearings may take place by video or on written submissions where the AAA rules allow. Judgment on the award may be entered in any court with jurisdiction.
  • Class-action waiver. You and we may bring claims only individually, not as a plaintiff or class member in any class, consolidated, or representative proceeding.
  • Small-claims exception. Either party may instead bring an individual claim in small-claims court if it qualifies.
  • Opt-out. You may opt out of this arbitration agreement by emailing support@setitsolutions.com within 30 days of first accepting these Terms.
  • Courts. If this arbitration agreement does not apply or is found unenforceable, disputes will be resolved exclusively in the state or federal courts located in Utah.

14. Governing law

These Terms are governed by the laws of Utah and applicable federal law, without regard to conflict-of-laws rules.

15. Indemnity

You agree to indemnify STEL Group LLC against claims arising from your misuse of the Service or violation of these Terms, to the extent permitted by law.

16. Changes to these Terms

We may update these Terms. For material changes, we will notify you by email or in the app at least 30 days before they take effect. Continuing to use the Service after that date means you accept the changes.

17. General

These Terms, together with the policies they reference, are the entire agreement between you and us. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a business transfer.
